Welcome to the Terms and Conditions of Minnal, the gateway to secure and seamless payment processing. By accessing or using our services, you enter into a legally binding agreement with us, agreeing to abide by the terms and conditions outlined herein. It's essential to understand and accept these terms before proceeding. If you do not agree with any part of these Terms and Conditions, please refrain from using our services. These terms govern your relationship with Minnal, so let's embark on this journey of financial convenience with clarity and responsibility.

Registration And Eligibility

To access and use our payment gateway services, you must meet certain eligibility criteria and create a user account. The registration process requires you to verify that you are an adult aged 18 years or older and have the capacity to enter into a legally binding contract. You agree to provide accurate, current, and complete information during the registration process and to keep your account information up-to-date. Account security is your responsibility, and you must maintain the confidentiality of your login credentials. We may undertake verification procedures to ensure compliance with eligibility criteria and may suspend or terminate accounts found in violation of these conditions. Your account is personal to you, and you are prohibited from transferring or sharing your account with others.

Payouts 

With our Minnal Payouts, you gain the flexibility to make payouts to various destinations, including bank accounts, UPI IDs, and both debit and credit cards, utilizing methods like RTGS, UPI, IMPS, and NEFT. Moreover, these services enable you to schedule payouts for processing at a later time.

Payout Links

In the event that you lack the necessary recipient information, you can effortlessly send a payout link to the recipient, along with the specified amount. Your recipient will receive the link via SMS, email, or both, and they can input their preferred payment details to complete the transaction. It's important to note that Minnal cannot be held liable for any errors or omissions made by you or the recipient when entering payment details. Ensuring the recipient's identity and compliance with applicable laws is your sole responsibility.

Vendor Payments

Minnal Vendor Payments streamline your accounts payable process. They allow you to receive supplier invoices from various sources and conveniently pre-fill payment details on the Minnal dashboard. Additionally, the service facilitates automatic deduction of TDS (Tax Deducted at Source) payments from your Customer Identifier balance, ensuring compliance with government requirements.

Tax Payments

Minnal Tax Payments simplify the management, tracking, and payment of compliance-related taxes such as TDS, Advance Tax, and GST. The system calculates TDS according to your vendor's rate, deducting it from your Customer Identifier balance and remitting it to the government. You can also download tax challans directly from the Minnal dashboard for filing purposes.

Penny Testing or Fund Account Validation

Our Penny Testing or Fund Account Validation service allows you to verify the authenticity of a beneficiary's bank account or UPI ID by depositing a nominal sum into the intended account. This process returns validated bank details and the beneficiary's account name. Please note that additional fees apply for each Penny Testing transaction, and you must maintain sufficient funds in your Customer Identifier to cover these charges.

Payouts to Wallets

Payouts to wallets enable you to make convenient transfers to RBI-complaint wallets. The payout amount is credited directly to the recipient's wallet balance. You are responsible for ensuring compliance with all applicable laws, including RBI regulations.

Accounting Software Integrations

We offer integration with supported accounting software, making it easy for you to streamline payments to vendors, partners, and suppliers. You can create Minnal-readable payout files from these integrated software solutions and upload them to your Minnal dashboard. However, it's crucial to verify the accuracy of details extracted from imported files before authorizing payments, as Minnal does not accept liability for errors or omissions.

Payment

Service Fees

We charge applicable fees for the services we provide, and these fees may vary over time. You agree that the fees will be determined by Minnal and will be charged in accordance with our specified rates, manner, and frequency. We reserve the right to update these fees at our discretion. Please note that our fees are exclusive of any applicable taxes. Minnal will charge the relevant taxes on the fees as required by law. You agree that any changes in tax rates during the period covered by these terms will be your responsibility.

Invoicing

Minnal will issue monthly invoices for the fees associated with the services provided in each respective month. You can access these invoices through your dashboard on a monthly basis. If you have any disputes regarding an invoice, you must notify us within ten (10) days from the date of the invoice. We will make every effort in good faith to resolve any reasonably disputed amounts.

Reconciliation

You are responsible for daily reconciliation of all processed transactions. If you come across any discrepancies, you should report them to Minnal within three (3) working days. Please note that if you report reconciliation issues after this time frame, Minnal will not be held responsible or liable for any unresolved queries or concerns.

Tax Deduction

If you have made an upfront payment for a specific service, and you deposit applicable taxes under Section 194H of the Income Tax Act, 1961, in relation to invoices received by you, along with furnishing Form 16-A for the taxes paid, Minnal will reimburse you quarterly for the amount related to the taxes paid. In all other cases, at the time of paying the fees, you should withhold applicable taxes under Section 194H of the Income Tax Act, 1961, provided that LTDC (Long Term Digital Certificate) is issued. You must deposit the withheld taxes with the government treasury, file the mandated returns, and provide the necessary tax deduction certificate (Form 16-A) to Minnal within the prescribed timelines for us to receive full credit for the taxes deducted at source.

GST Compliance

It is your sole responsibility to keep your GST registration number updated on the Minnal dashboard before we generate the invoice. Additionally, you must submit your GST certificate as part of your Know Your Customer (KYC) information. Minnal will generate a GST tax invoice and report the transactions in GST returns based on the information you provide. The GST returns will be filed as per statutory timelines to allow you to claim the appropriate input tax credit.

Minnal will not be held responsible for any mistakes or misrepresentations in updating the GST number and other particulars according to your GST certificate. Any liability imposed on Minnal by GST authorities due to incorrect information provided by you or deliberate withholding of statutory information will be recovered from you.

Payment Transactions

Our payment gateway facilitates secure and efficient payment transactions. By using our services, you authorize us to process your payments according to your chosen payment method. We employ advanced security measures to protect your transactions and to detect and prevent fraud. Transaction fees and charges may apply, and you are responsible for reviewing and understanding our fee schedule. In case of billing disputes or refund requests, we have mechanisms in place to address and resolve such issues. It's important to note that currency conversion may occur when making international transactions, and exchange rates will be applied based on our policies and current market conditions. We are dedicated to ensuring the security and integrity of your payment transactions.

Fees and Billing

Our services may entail certain fees and charges, which you agree to pay as per our fee schedule. Fees may vary based on the type of transaction, payment method, and other factors. It is your responsibility to review and understand our fee structure, which may be subject to periodic updates. Billing occurs in accordance with your usage of our services, and you may receive invoices or statements for your transactions. If you dispute any charges or require a refund, please contact our customer support, and we will investigate the matter promptly. Additionally, for international transactions, currency conversion may apply, and exchange rates will be determined based on our policies and market conditions. We are committed to transparent and fair billing practices, and we encourage users to stay informed about the fees associated with our services.

Understanding Payment Network Rules

At "Minnal," we want to make sure your payment transactions go smoothly. So, when we talk about "Payment Network Rules," we're referring to the various written rules, regulations, guidelines, and requirements set forth by the payment networks. These rules help ensure the secure authorization of transactions. To use our services, you agree to abide by these rules and regulations.

Payment networks sometimes update their rules and regulations. If they do, we may need to adjust our terms accordingly. These changes will become effective for you as soon as they're implemented by the payment networks.

Your Responsibility in Compliance

We're here to help you understand the Payment Network Rules, but it's ultimately your responsibility to follow them. This means you need to comply with any programs, guidelines, and requirements published or mandated by the payment networks. Even if you're not aware of every detail in these rules, you're still responsible for adhering to them. You can find simplified versions of these rules on the websites of popular payment networks like MasterCard, Visa, and RuPay.

Consequences of Non-Compliance

If your actions result in fines, penalties, or other charges being imposed on us by a payment network, you'll need to reimburse us for those costs. We'll calculate the amount based on what's been levied or spent by us in relation to these fines or penalties. In case you fail to meet your obligations to the payment networks, we might have to suspend settlement or even suspend/terminate our services. We want to work together to ensure smooth transactions and compliance with all rules.

Anti-Bribery and Sanctions Laws

We are dedicated to upholding the highest ethical standards. By using our platform, you commit to abiding by all relevant anti-bribery and anti-corruption laws. These laws prohibit you, your representatives, or anyone acting on your behalf from engaging in activities that could induce or reward payments, gifts, hospitality, or anything of value to government officials, public servants, regulatory bodies, persons in positions of authority, elected or electoral candidates, political parties, or any third party for the purpose of obtaining an improper commercial or business advantage. This extends to officials from within the country or abroad, including government employees, candidates for public office, employees of government-owned or government-controlled entities, public international organizations, and political parties. You further pledge not to offer, give, pay, or authorize any transfer of value, directly or indirectly, to anyone to influence favorable actions or decisions in your favor. By adhering to these principles, you help us maintain a fair and ethical environment on our platform, fostering trust and integrity in all transactions.

Privacy and Security of Data

We are committed to protecting the privacy and security of your data. Your personal and financial information is protected by comprehensive measures. Our data protection practices are governed by our Privacy Policy, which outlines how we collect, use, and safeguard your data. We use advanced encryption technologies to secure your transactions and employ stringent access controls to restrict unauthorized access to your data. While we employ robust security measures, it's essential to acknowledge that no system is entirely immune to risks. Responsibilities of Users

As a user of our payment gateway services, you have certain responsibilities. You agree not to engage in any prohibited activities, such as fraud, identity theft, or any unlawful conduct when using our services. You must comply with all applicable laws and regulations while using our platform. Additionally, it's your responsibility to keep your account information, including login credentials, confidential and secure. You should promptly notify us of any unauthorized access or suspicious activity related to your account. Your use of our services implies your acceptance of these responsibilities, which are essential for maintaining the integrity and security of our platform.

Responsibilities and Obligations of Merchant

We believe in transparency and responsible business practices. Here, we outline your obligations as a merchant when using our services.

Providing Necessary Documentation

Before initiating any services under this Agreement, you, as the merchant, commit to furnishing the required documents (as determined at our discretion) to enable Minnal to conduct due diligence pertaining to your business activities. We may share KYC documents and related information with Facility Providers, Governmental Authorities, or legal enforcement agencies, as mandated by Applicable Laws. By using our services, you grant us consent to rely on the KYC documents you provide. We reserve the right to monitor, review, retain, or disclose information concerning our services as necessary to comply with Applicable Laws, legal processes, or government requests.

Additional KYC Documents

Throughout the term of this agreement, Minnal may request additional KYC-related documents or other documents from your customers or invoices, based on our discretion, Applicable Laws, or government authority requests. Failure to provide these documents, when requested, may result in the suspension of our services or the withholding of settlements until we are satisfied with the documentation.

Politically Exposed Person (PEP) Status

You declare that, as of the agreement date and throughout the term, neither you, your affiliates, nor your beneficial owner are Politically Exposed Persons. It's essential to inform us immediately in writing if this status changes during the term. Terms not defined in this Agreement have the meanings ascribed in the extant Master Directions - Know Your Customer (KYC) issued by the Reserve Bank of India.

Customer Confidential Information

You assure us that you have obtained informed consent from your customers to share their confidential information with Minnal and our affiliates in connection with the services. This consent allows us to further share customer information with Regulatory Authorities as required by Applicable Laws for transaction tracking, fraud prevention, and compliance with Section 91 CrPC Notices.

Service Complexity and Liability

Please understand that our services involve multiple parties, including Facility Providers, to function effectively. We will be liable only for acts or omissions directly attributable to us.

Merchant Responsibilities

You are solely responsible for various aspects, including delivery, after-sales service, payment, invoicing, collection, customer inquiries, technical support, maintenance services, and other obligations related to your products or services. Any claims arising from these services or obligations, as well as associated expenses, are your responsibility.

Representations and Warranties

You must not represent yourself as an agent or representative of Minnal or the Facility Provider, claim rights to offer products or services on our behalf, or make any warranties that could impose obligations on us.

Reconciliation

You are responsible for daily reconciliation of all processed transactions. Any discrepancies must be reported to Minnal within three (3) days from the transaction date. We cannot be held liable for reconciliation issues reported beyond this timeframe.

Product and Service Risks

Risks associated with product sales and delivery to customers are entirely your responsibility. We accept no liability in matters related to product quality, merchantability, non-delivery, or delivery delays. Disputes concerning your products or services should be resolved directly between you and the customer without involving Minnal.

Suspension of Services

We reserve the right to suspend services and withhold settlements in the following situations:

  • Merchant breaches any clause of this Agreement or any other agreement with Minnal.
  • Merchant engages in unlawful transactions or breaches compliance clauses.
  • Instructions are received from Facility Providers, Governmental Authorities, or law enforcement agencies.
  • Merchant's products infringe intellectual property rights or sell counterfeit goods.
  • High-risk transactions, suspicious activities, or pending disputes arise.
  • Minnal determines that risks are unacceptable or due to regulatory changes affecting our services.
  • We believe in a cooperative and transparent partnership, and these responsibilities and obligations help ensure a smooth and secure experience for all parties involved. If you have any questions or need further clarification, please don't hesitate to reach out. Your success is our priority.

Intellectual Property

All content and intellectual property featured on our payment gateway website, including but not limited to text, graphics, logos, and software, are protected by copyright, trademark, and other intellectual property laws. These materials are either owned by us or used with permission from third-party providers. Your use of our services does not grant you any ownership rights over our intellectual property. You are granted a limited, non-exclusive, and non-transferable license to use our services in accordance with these Terms and Conditions. Any reproduction, distribution, or modification of our intellectual property without express consent is strictly prohibited. We respect the intellectual property rights of others, and we expect our users to do the same.

Service Availability and Changes

Our commitment to providing reliable payment gateway services is unwavering. However, we cannot guarantee uninterrupted service availability. There may be instances of scheduled maintenance, updates, or unforeseen technical issues that can result in temporary interruptions or downtime. We strive to minimize such disruptions and will provide advance notice when possible. Your understanding and patience during such instances are appreciated. We reserve the right to modify or update our services to enhance functionality and security. While we aim to improve your experience, we will do so while considering your convenience and ensuring minimal disruption to your access to our services.

Termination and Account Closure

Your use of our payment gateway services is based on your acceptance of these Terms and Conditions. We reserve the right to terminate or suspend your account or access to our services at our discretion, without notice, if we believe you have violated these terms or engaged in fraudulent or unlawful activities. In the event of account termination, you may lose access to your transaction history and any associated data. We are not liable for any loss or damages resulting from account termination. If you choose to close your account voluntarily, you may do so by following the provided instructions. Account closure does not release you from any outstanding obligations, including pending transactions or fee payments.

Liability and Disclaimers

While we are committed to providing reliable and secure payment gateway services, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that our services will be error-free or uninterrupted. We are not liable for any direct, indirect, incidental, consequential, or punitive damages, or any loss of data, profits, or business opportunities resulting from your use of our services. Our liability is limited to the maximum extent permitted by law. You agree to indemnify and hold us harmless from any claims, liabilities, and expenses arising from your use of our services or your violation of these Terms and Conditions. We are not responsible for losses incurred due to circumstances beyond our control, such as force majeure events.

Governing Law And Jurisdiction

Our Terms and Conditions are governed by the laws of India. Any disputes or claims arising from or relating to these terms will be subject to the exclusive jurisdiction of the courts in India. We encourage users to attempt to resolve disputes with us informally before seeking legal remedies. If a dispute cannot be resolved informally, it will be subject to arbitration or mediation in accordance with the dispute resolution procedures outlined in these terms.
